Terms and conditions

1. Purpose

These terms and conditions (hereinafter the "Terms") govern the contractual relationship between LémanSoin, a sole proprietorship being established, represented by Maxime Maadoune-Meloni (hereinafter the "Provider"), and any natural or legal person (hereinafter the "Client") who orders a service from LémanSoin.

2. Services offered

LémanSoin offers three main categories of services:

  • Showcase Pack: a professional showcase website in French (flat fee of 1'500 CHF). The first year is entirely included in this price: hosting, minor edits (up to 30 minutes per month), email support within 48 hours and automatic security updates. No monthly invoice during the first 12 months
  • Booking Pack: showcase website + online appointment booking system + management dashboard (flat fee of 2'900 CHF). Same inclusions as the Showcase Pack for the first year, plus automatic patient reminders by email and SMS (normal SMS use, see article 9) and automatic daily patient-data backups, contractually guaranteed during the first year. From the second year, maintaining this backup guarantee requires subscribing to a maintenance plan (Essential or Comfort), which is strongly recommended (see article 9)
  • Maintenance: monthly Essential (119 CHF/month) or Comfort (189 CHF/month) plans. Includes hosting, security updates, automatic patient-data backups and support. From the second year, without a maintenance plan or equivalent arrangement, the patient data of the Booking Pack no longer benefits from any contractual backup guarantee

Each additional language added to a website (EN, DE, IT, ES, PT) is charged at 500 CHF excl. VAT, professional translation included.

Any additional hour of work beyond the monthly allowance included in the pack or in the subscribed maintenance plan (edit, new page, adding a feature, redesigning a section, integrating a third-party tool) is charged at the single hourly rate of 130 CHF excl. VAT per hour, subject to a prior quote. This rate applies both in the first year and in subsequent years. The Client may also choose to wait until the following month to use the remaining included allowance.

Specific services outside the packs are subject to a personalised quote.

3. Quote and order

Every order is preceded by a free, personalised quote sent to the Client by email. The quote is valid for 30 days from its date of issue.

The order becomes firm upon receipt of the quote signed by the Client (electronic signature accepted) and payment of the deposit provided for in article 5.

4. Pricing

Prices are expressed in Swiss francs (CHF). LémanSoin is a sole proprietorship not subject to Swiss VAT, in accordance with article 10 of the Swiss Federal Act on Value Added Tax (LTVA), as long as annual turnover remains below 100'000 CHF.

The prices shown on the lemansoin.ch site are indicative and may be adjusted depending on the complexity of the project, after discussion with the Client.

5. Payment terms

For the Showcase and Booking packs:

  • 50% of the total amount on signature of the quote (deposit)
  • the remaining 50% when the site goes live

Maintenance plans are invoiced monthly, in advance, on the 1st of each month.

Payments are made by bank transfer (IBAN details provided on the invoice) or by TWINT. No payment by credit card is accepted at this time.

Late payment: in the event of late payment, default interest of 5% per annum will be applied in accordance with article 104 of the Swiss Code of Obligations, after an unsuccessful reminder.

6. Delivery times

The indicative delivery times are as follows:

  • Showcase Pack: 2 to 4 weeks
  • Booking Pack: 3 to 6 weeks

These times run from receipt of the deposit AND of all the necessary materials (text, photos, logo, domain access) provided by the Client. Until the content is provided in full, the delivery time does not start to run.

Delivery times may be extended in the event of delay by the Client in providing materials, significant changes requested during production, or a project whose complexity exceeds the initial scope of the pack. Any extension will be communicated to the Client as soon as possible.

7. Client obligations

The Client undertakes to:

  • Provide all materials necessary for completing the project (text, photos, logos, visual identity)
  • Warrant that they hold the necessary rights to all content they provide
  • Meet the deadlines for approving mock-ups and key milestones
  • Pay the amounts due within the agreed deadlines

The Client is solely responsible for the content they provide. LémanSoin cannot be held liable for any infringement of copyright, trademark or image rights resulting from content supplied by the Client.

8. Intellectual property

Once full payment has been made, the Client becomes the owner of the final content and of the specific visual identity created for their project.

The underlying source code (Next.js framework, React components, technical architecture) remains the intellectual property of LémanSoin and is made available to the Client under a perpetual, non-exclusive licence of use for the website concerned.

LémanSoin reserves the right to mention the Client in its portfolio (Portfolio section of the lemansoin.ch site) unless the Client requests otherwise in writing.

9. Hosting, maintenance and data

The delivered sites are hosted on a cloud infrastructure whose web servers are located in Europe (Frankfurt region, Germany). Sensitive data (patients, bookings) processed by the systems delivered with the Booking Pack is stored exclusively in Switzerland (Zurich region).

First year (included in the pack price): hosting, automatic security updates, minor edits (up to 30 minutes per month) and email support within 48 hours are entirely included in the flat price of the Showcase Pack or the Booking Pack. No monthly invoice is issued during the first 12 months following the site going live. Hours not used in a given month are not carried over to the following month.

From the second year onwards, the Client chooses freely among three options:

  • Hosting only: 290 CHF excl. VAT per year, invoiced annually in advance. This option includes no edits, no guaranteed backups, no support and no patient SMS reminders (email reminders are kept)
  • Essential Maintenance plan: 119 CHF excl. VAT/month, including hosting, security updates, automatic patient-data backups, patient SMS reminders (Booking Pack), up to 1 hour per month of minor edits and email support within 48 hours
  • Comfort Maintenance plan: 189 CHF excl. VAT/month, including the services of the Essential plan plus up to 2 hours per month of content changes and priority support within 24 hours

Notice period and year 2+ decision timeline: the Client has a 30-day notice period to communicate their choice among the three options above (Hosting only, Essential Maintenance, Comfort Maintenance) or their intention not to subscribe to any option. This notice period begins on receipt of a first reminder email sent about one month before the end of the first year. The Client's decision is communicated by email to contact@lemansoin.ch or by any other equivalent means (in particular via the decision links included in the reminder email), in free form, stating the option chosen. If there is no reply to this first email, two written reminders are sent to the Client in turn, one about fifteen days before the deadline, the other about three days before the deadline. If there is no reply to all of these reminders before the first-year deadline, the service ends automatically on that date, under the conditions described in the paragraph "End of service in the absence of a subscription" below. No tacit renewal of any option is applied by LémanSoin without the Client's explicit choice.

Domain name: the .ch domain name registered in the Client's name is included in the pack's flat price for the first year, as well as its annual renewal in each of the three options described above from the second year onwards. No separate invoice is issued for the domain. The Client remains the legal owner of the domain in the Whois registry; LémanSoin acts solely as technical administrator (DNS configuration, renewal, zone management). In the event of termination of the contract or a change of provider, the domain is transferred to the Client free of charge via an authorisation code, and the associated professional mailbox follows the domain. LémanSoin's responsibility is limited to a standard domain name whose annual registration and renewal cost does not exceed 20 CHF excl. VAT per year. Any premium domain name, offered for resale, at auction, or whose registration or renewal price exceeds this cap, is subject to a separate quote requiring the Client's prior agreement, with the additional cost borne by the Client.

SMS reminders (Booking Pack): automatic SMS reminders sent to patients the day before their appointment are included in the flat pack price for the first year, then in the Essential and Comfort Maintenance plans from the second year. They correspond to normal use, capped at 400 SMS per month and per practice (one reminder per appointment, plus one notification per waitlisted patient when an earlier slot becomes available). The Hosting only option does not include SMS reminders: email reminders are kept.

End of service in the absence of a subscription: if the Client does not subscribe to any of the three options above at the end of the first year, despite the reminder email and a written follow-up, the service ends automatically on the due date. LémanSoin then proceeds, within 30 days, to transfer the domain name to the Client (via authorisation code) and to take the hosting offline (public site and administration dashboard). From that date, the Client no longer has access to the administration dashboard or to the booking system's features. LémanSoin has no obligation to maintain the site, the domain or the professional email address free of charge beyond that date.

Return of patient data (Booking Pack only): at the end of the service, LémanSoin provides the Client, free of charge and within the 30-day period mentioned above, with a structured export of the booking system's patient data in CSV or JSON format (patient table, appointment history, associated records, any documents sent). This return complies with LémanSoin's obligations as a data processor within the meaning of the revFADP (revised Swiss Federal Act on Data Protection). The Client is then responsible for arranging their new hosting and rebuilding their site and dashboard with a provider of their choice. The site's source code, the intellectual property of LémanSoin (article 8), is not included in this return. At the Client's request, a one-off assisted technical transfer service may be offered under a separate quote, charged on the basis of the hourly rate of 130 CHF excl. VAT per hour.

Special case of the Booking Pack: automatic daily patient-data backups are included and contractually guaranteed during the first year, at no extra cost. From the second year, maintaining this guarantee requires subscribing to a maintenance plan (Essential or Comfort), which is strongly recommended without however being legally mandatory. As a healthcare professional, the Client remains personally subject to the obligation to regularly back up their patients' data (revFADP and medical confidentiality under article 321 of the Swiss Criminal Code); the maintenance plan is a practical way to meet this obligation. Failing a subscription from the second year (in particular with the Hosting only option), LémanSoin provides no contractual guarantee of patient-data backup: setting up an equivalent backup arrangement then remains the Client's sole responsibility.

Data processor status (DPA · article 9 revFADP): within the framework of the Booking Pack, LémanSoin acts as data processor for the Client (the data controller) within the meaning of article 9 of the Swiss Federal Act on Data Protection (revFADP). Processing is limited to the hosting and technical management of patients' contact details (surname, first name, postal address, email, phone, communication language, date of birth, LAMal number and supplementary insurance if provided, appointment history, administrative notes entered by the Client). The data is hosted exclusively in Switzerland (Zurich). LémanSoin does not process any data for its own purposes and does not transmit it to any third party, except where legally required. The retention period corresponds to the duration of the contract, plus a 30-day period for the return described above. LémanSoin implements appropriate technical and organisational measures to ensure the confidentiality, integrity and availability of the data (encryption in transit and at rest, access control, backups, logging of administrative access).

Commitment to professional secrecy (article 321 of the Swiss Criminal Code): LémanSoin, its directors and any person acting on its behalf on the data processed within the framework of the Booking Pack are bound by medical professional secrecy, as auxiliaries of the Client within the meaning of article 321 of the Swiss Criminal Code. This commitment subsists without time limit, even after the end of the contract.

Scope of the service and limits: LémanSoin provides a website and, for the Booking Pack, a patient appointment booking system as well as a dashboard for managing appointments, patient contact details and administrative notes entered by the Client. LémanSoin does not replace the Client's medical management software (ERP, electronic medical record). The Client retains full responsibility for keeping their complete patient record (case history, treatment plan, clinical reports, medical imaging, traceability of procedures), for generating and issuing their compliant invoices (in particular Medidata, CMD, SDJ and other formats required by Swiss insurers), for their accounting, as well as for all professional obligations applicable to their activity (in particular those arising from the ethical rules of the FMH, the SSO, or any other competent professional association). The notes and documents features offered by LémanSoin constitute a tool for administrative coordination between the practice and its patients; they in no way constitute an electronic medical record within the meaning of the professional rules applicable to the Client.

10. Changes and additions

The services included in each pack are described in the quote. Minor changes (changing opening hours, correcting text, adding a piece of information or a simple photo) remain within the monthly allowance included in the pack or in the subscribed maintenance plan: 30 minutes per month in the first year, 1 hour per month with the Essential Maintenance plan, 2 hours per month with the Comfort Maintenance plan.

Any additional hour of work that exceeds this monthly allowance, whatever its nature (edit, adding a new page, adding a feature, redesigning a section, integrating a third-party tool), is charged at the single hourly rate of 130 CHF excl. VAT per hour, subject to a prior quote. This rate applies both in the first year and in subsequent years. The Client may also choose to wait until the following month to use the remaining included allowance. No additional hour is charged without a quote accepted in advance by the Client.

11. Termination of the maintenance contract

Maintenance contracts (Essential or Comfort) may be terminated at any time by email, with a notice period of 30 days. No refund is due for months already started.

12. Limitation of liability

LémanSoin undertakes to implement all the means necessary for the proper performance of the services. However, its liability is limited to the total amount of the service invoiced.

LémanSoin cannot be held liable for indirect damage (loss of business, loss of clientele, harm to image) resulting from the use of the delivered site, except in the event of intentional fault or gross negligence.

13. Force majeure

Neither party may be held liable for a failure to meet its obligations if that failure results from a case of force majeure within the meaning of article 119 of the Swiss Code of Obligations (natural disaster, strike, pandemic, failure of an essential third-party service, etc.).

14. Applicable law and jurisdiction

These Terms are governed by Swiss law. Any dispute relating to their interpretation or performance shall be subject to the exclusive jurisdiction of the competent Swiss courts, subject to the mandatory provisions of applicable Swiss law.
